Terms of Service

Effective Date: January 15, 2025

THIS TERMS OF USE AGREEMENT (the “Agreement”) is entered into by and between Arc Line and North, LLC, a limited liability company organized under the laws of Delaware, doing business as Launch Lab (“Launch Lab,” “we,” “us,” “our”), and you, the client (“Client,” “you,” “your”), whether acting as an individual or on behalf of a business entity. By accessing or using Launch Lab’s website located at https://www.startwithlaunchlab.com (the “Website”), or any associated platforms, applications, or media channels (collectively, the “Services”), you acknowledge and agree to all the terms, conditions, and obligations set forth in this Agreement. If, for any reason, you do not agree to these Terms & Conditions in their entirety, you must immediately discontinue use of the Services. Your continued use constitutes your acceptance.

1. Intellectual Property Rights

Unless otherwise indicated, all materials, content, and intellectual property (including, but not limited to, source code, databases, software, website design, text, audio, video, photographs, graphics, logos, and trademarks) available on or through the Website (collectively, the “Content”) are the exclusive property of Launch Lab and are protected by copyright, trademark, and other intellectual property laws in the United States and internationally. The Content is provided “as is” for your personal, non-commercial use. Except as expressly permitted by us in writing, you are prohibited from reproducing, redistributing, licensing, selling, or otherwise exploiting our Content for any purpose. All rights not expressly granted herein are reserved by Launch Lab.

2. Ownership of Materials Created for Client

With respect to any final design deliverables, including all related original source files that Launch Lab creates specifically on your behalf (the “Projects”), and which have been fully paid for by the Client, the copyright to these Projects shall belong solely to you, the Client. In the event that any rule of law might otherwise vest ownership with Launch Lab, we hereby irrevocably assign all interest in such Projects to you. By providing any reference materials, examples, or assets for incorporation into Projects, you represent and warrant that you have full ownership or sufficient rights to these materials and that their use does not infringe upon any third-party rights. Unless otherwise agreed upon as set forth in Section 18, Launch Lab reserves the right to showcase and publicly display the Projects for promotional purposes.

3. Third-Party Fonts

If a Project incorporates one or more fonts owned by a third party that require a commercial license for legal reproduction, distribution, or public display (“Third-Party Fonts”), Launch Lab will notify you in writing. This notice will include sufficient details for you to understand which licenses must be obtained and from whom. Once properly notified, you bear full responsibility for purchasing any required licenses. Launch Lab is not liable for any legal consequences arising from your failure to secure the necessary licenses for these Third-Party Fonts.

4. Client Representations

By using our Website and Services, you represent, warrant, and covenant that:

  • You possess the legal capacity and authority to enter into this Agreement and will comply with all terms herein.
  • You are not a minor in your domicile and can legally form binding contracts.
  • You will not use any automated systems to access our Website except for those made available by Launch Lab.
  • You will not use the Website or Services for any unlawful purpose and will abide by all applicable laws and regulations.
  • Your use of the Website and Services will not infringe upon any third-party rights.

5. Prohibited Activities

You agree that you will not use the Website or Services for any purposes other than those authorized by Launch Lab. Specifically, you agree not to:

  • Use the Website or Services in a way that violates any law or regulation.
  • Access or extract data or Content to build a similar or competitive service or product.
  • Attempt to circumvent security features or access restricted areas of the Website.
  • Engage in unauthorized framing or linking to the Website.
  • Mislead, defraud, or harm Launch Lab or other users.
  • Disrupt, interfere with, or cause an undue burden on our infrastructure, servers, or networks.
  • Decompile, reverse-engineer, or disassemble any portion of the Website or Services.
  • Upload, transmit, or distribute any viruses, malware, or other malicious code.
  • Harass, threaten, or intimidate any Launch Lab representative or partner.
  • Remove or alter any copyright or trademark notices.
  • Use the Website in a manner inconsistent with any applicable laws or regulations.

6. Client Feedback

Any suggestions, ideas, proposals, or other comments you provide to Launch Lab (“Submissions”) become the sole property of Launch Lab, except as otherwise noted in Section 2. We may use, reproduce, adapt, publish, translate, distribute, or incorporate these Submissions into any medium without compensation or acknowledgment to you. By providing any Submission, you confirm that you have the right to do so and that our use will not infringe or violate third-party rights.

7. Management and Oversight

Launch Lab may monitor the Website to ensure compliance with these Terms & Conditions. We reserve the right to restrict or terminate your access to the Website or Services at any time, for any reason, and without prior notice or liability to you. All decisions related to the operation, maintenance, and enforcement of these Terms are at our sole discretion.

8. Privacy Policy

Your use of the Website is also governed by our Privacy Policy, which is hereby incorporated by reference. By using our Services, you acknowledge that any personal information collected will be handled in accordance with our Privacy Policy. If you access the Website from outside the United States, you understand that your information may be transferred to and processed within the United States. We do not knowingly solicit or collect personal information from individuals under the age of 18. If we learn that information from a person under 13 years old has been collected without parental consent, we will take appropriate steps to delete it.

9. Returns and Refunds

Refunds, if any, are granted solely at the discretion of Launch Lab and may be denied without notice or liability. If you request a refund during your first month of service, any materials produced by Launch Lab remain our property and you are prohibited from using them. If we determine a refund is warranted, a 25% fee may apply to the remaining billable period. We reserve the right to pursue appropriate legal action against any unauthorized use of our materials.

10. Modifications to the Website or Services

We reserve the right to update, change, modify, or discontinue all or any part of the Website, Services, or Content at any time and for any reason, without liability or prior notice. Your continued use of the Website after any modifications constitutes your acceptance of those changes.

11. Connection Interruptions

We make no guarantee that the Website and Services will be available at all times. Technical issues, maintenance, or factors beyond our control may result in interruptions. We shall not be liable for any damage, loss, or inconvenience you may experience due to downtime or errors.

12. Governing Law

This Agreement and your use of the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.

13. Litigation

Any legal proceeding arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Delaware, and both parties consent to jurisdiction and venue in these courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act do not apply.

14. Disclaimer of Warranties

The Website and Services are provided on an “as is” and “as available” basis. Your use is at your sole risk. We disclaim any and all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy, completeness, or reliability of the Content. Launch Lab is not responsible for any errors, omissions, viruses, or harmful components transmitted through the Website.

15. Limitation of Liability and Indemnification

Under no circumstances shall Launch Lab or its employees, members, agents, contractors, or affiliates be liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, lost data, or attorney’s fees) arising from or related to your use of the Website or Services. You agree to defend, indemnify, and hold harmless Launch Lab and its affiliates from any claim or demand arising out of your breach of this Agreement, your violation of any law or third-party right, or your use of the Services. We reserve the right to assume the defense of any matter subject to indemnification at your expense, and you agree to cooperate fully in such defense.

16. User Data

You are solely responsible for all data you transmit through or in connection with the Website. We are not liable for any loss or corruption of such data, and you expressly waive any claim against us for any such damage or loss.

17. Electronic Communications and Signatures

By visiting the Website, sending us emails, or using the Services, you consent to receive electronic communications from Launch Lab. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You further consent to the use of electronic signatures, contracts, and records related to transactions conducted or facilitated by us, and you waive any jurisdictional or regulatory requirements for original signatures or the retention of non-electronic records.

18. Showcasing Design Work

Unless you have negotiated and executed a separate Non-Disclosure Agreement (NDA) with Launch Lab, we reserve the right to highlight completed Projects, including associated designs, publicly on our social media, website, and other marketing channels. Should an NDA be put in place, we will abide by its terms and refrain from publicly sharing or discussing the Project.

19. Referrals

Referral tracking and payouts, if offered, are facilitated through a third-party partner such as [Rewardful.com]. Your participation in any referral program constitutes your acceptance of that partner’s terms and policies.

20. Miscellaneous

This Agreement, together with any policies or legal notices referenced herein, constitutes the entire agreement between you and Launch Lab. If any portion of this Agreement is found to be invalid or unenforceable, that portion shall be severed and shall not affect the validity and enforceability of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and Launch Lab by this Agreement or your use of the Services. Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of that right or provision.
